Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “the creator”) and TRAQDEALS (“TRAQDEALS”, “we”, “us”), a company incorporated in India. They govern your access to and use of the TRAQDEALS website, mobile and web applications, APIs and any related services (collectively, the “Service”).

By creating an account, signing in, or otherwise using the Service you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not use the Service.

TRAQDEALS is a deal-to-cash operating system built for content creators and influencers. The Service helps you:

• capture deal information from screenshots of brand chats, emails, DMs and similar communications you upload to the Service;
• automatically extract structured deal terms (brand name, scope of work, deliverables, amounts, due dates and similar fields) using artificial-intelligence (AI) models;
• organise contacts, deals, deliverables, invoices and payments;
• generate and send GST-compliant invoices to your brand contacts; and
• track receivables, send reminders and report on your business.

Some features are available only on paid plans, free trials or promotional plans, and may be added, changed or removed from time to time.

You must be at least 18 years old and competent to enter into a binding contract under the Indian Contract Act, 1872 to use the Service. By using the Service you represent that you meet these requirements and that you are using the Service for your own creator business and not on behalf of any sanctioned party or in violation of any applicable law.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and current information at sign-up and keep it updated. Notify us immediately at support@traqdeals.com if you suspect any unauthorised access to your account. We are not liable for any loss arising from your failure to safeguard your credentials.

Our core feature involves processing screenshots, message transcripts, emails and similar content that you upload (collectively, “Capture Inputs”) to extract structured deal information. This section describes how that processing works and the commitments we make to you.

• Sub-processors. Capture Inputs are sent over an encrypted connection to one or more vetted third-party AI service providers we use as sub-processors. These providers process the content only to return the extraction result to us. The categories of providers we use are described in our Privacy Policy.
• No training on your content. We do not permit our AI sub-processors to use your Capture Inputs to train, fine-tune or improve their general-purpose models. Where the provider offers a no-training enterprise mode, we use that mode exclusively. We also do not use your Capture Inputs to train any model of our own that is shared across customers.
• What we extract. We aim to extract only the fields needed to create a deal record (brand/client name, point of contact, scope, deliverables, dates, amounts, payment terms). We discard or do not surface unrelated content where technically feasible.
• Accuracy disclaimer. AI extraction is probabilistic. The extracted data may contain errors, hallucinations, omissions or misinterpretations. You are responsible for reviewing every extracted deal before relying on it, sending an invoice based on it, or taking any consequential action. TRAQDEALS does not warrant the accuracy of any AI output.
• Retention & deletion. Capture Inputs and their AI outputs are retained as described in our Privacy Policy. You may delete a capture, a deal or your entire account at any time, which will trigger deletion in accordance with that policy.
• Opt-out of AI features. You may disable AI extraction in your account settings; in that case, you can continue to enter deals manually.

As between you and TRAQDEALS, you retain ownership of all content you upload to the Service (including Capture Inputs, contacts, deals, files, invoice templates, branding and similar content; collectively, “Your Content”).

You grant TRAQDEALS a worldwide, non-exclusive, royalty-free, sub-licensable (only to our sub-processors as needed to operate the Service) licence to host, store, copy, transmit, display, modify (only to the extent technically necessary, e.g. to re-format, compress, or render) and process Your Content for the purposes of operating, securing, supporting and improving the Service for you. This licence ends when you delete the relevant content or your account, subject to the retention rules in our Privacy Policy and to our right to retain de-identified or aggregated data.

Third-party data in your uploads. Capture Inputs frequently contain personal data of brand contacts and other third parties (names, phone numbers, email addresses, message content). You represent and warrant that:

• you have the right to upload that content to the Service for the purposes of running your own business;
• doing so does not breach any contract, NDA, or applicable law (including the Digital Personal Data Protection Act, 2023); and
• you will respond to any request from a brand contact or other third party regarding their personal data in your account, as you are the controlling party for that data within your workspace.

The Service is offered on free and paid plans. Paid plan fees, billing frequency and inclusions are displayed at the point of purchase and may change with reasonable prior notice (changes apply from your next billing cycle). All fees are stated in Indian Rupees (INR) unless otherwise specified, and are exclusive of GST, which will be charged at the applicable rate.

You authorise us and our payment processor to charge your chosen payment method for the subscription fees, taxes and any other charges you incur. If a charge fails, we may suspend or downgrade your plan after a reasonable cure period.

You may cancel a paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until then.

Except where required by law, fees already paid are non-refundable and we do not pro-rate refunds for partial periods. We may, at our sole discretion, offer a goodwill refund in cases such as duplicate billing or extended Service unavailability. Free trials and promotional credits are governed by the specific terms shown when you redeem them.

You agree not to, and not to permit any third party to:

• upload content that is unlawful, infringing, defamatory, obscene, sexually explicit, harassing, or that you do not have the right to upload;
• use the Service to harass any brand contact, send spam, send unsolicited commercial communications, or generate misrepresentative invoices;
• attempt to reverse engineer, scrape, decompile, or disassemble the Service, except to the extent expressly permitted by applicable law;
• interfere with or disrupt the Service, probe for vulnerabilities (other than under a programme we explicitly authorise), or bypass any rate-limit or access control;
• use the AI extraction features to process content you have no lawful right to process, or in violation of any third party’s privacy or contractual rights; or
• use the Service to build a competing product or to train a machine-learning model on the outputs of the Service.

The Service may let you connect third-party accounts (for example, Google/Gmail, payment gateways, email delivery and similar). When you connect such an account you authorise us to access and process information from that service strictly as needed to deliver the feature you enabled.

Google API services.If you connect a Google account, TRAQDEALS’ use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We do not use Gmail data to serve advertising, do not sell it, do not transfer it to third parties for advertising or to develop unrelated AI models, and do not allow humans to read it except (i) with your explicit consent, (ii) for security investigations or to comply with the law, or (iii) where the data has been aggregated and de-identified.

Your use of any third-party service through TRAQDEALS is also subject to that service’s own terms; we are not responsible for those services.

The Service, our software, design, branding, trade marks and the compilation of the Service are owned by TRAQDEALS or its licensors and are protected by Indian and international intellectual-property laws. Except for the limited rights expressly granted to you in these Terms, no licence is granted — by implication, estoppel or otherwise — over our intellectual property.

If you send us suggestions, ideas or feedback about the Service you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose without obligation to you. We are free to develop similar features independently of your feedback.

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if your use poses a security or legal risk, or if your account is unpaid past a reasonable cure period. You may stop using the Service and delete your account at any time.

On termination, your right to access the Service ends. Sections that by their nature should survive (including ownership, AI training restrictions, disclaimers, limitation of liability, indemnity, governing law and dispute resolution) will survive.

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory or otherwise. We disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error free, secure, or that AI-extracted data will be accurate or complete. You are solely responsible for the business decisions you take based on outputs of the Service, including invoices you send and amounts you collect.

To the maximum extent permitted by law, TRAQDEALS and its affiliates, directors, employees and agents will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

Our total cumulative liability arising out of or related to these Terms or the Service, regardless of the cause of action, will not exceed the greater of (a) the amount you paid us under these Terms in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) ₹10,000.

You agree to defend, indemnify and hold harmless TRAQDEALS, its affiliates and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) Your Content or your upload of Capture Inputs; (ii) your breach of these Terms or any applicable law; or (iii) your violation of any third party’s rights, including privacy or intellectual-property rights.

We may add, change, or discontinue features of the Service at any time. We may also update these Terms; when we do, we will revise the “Last updated” date and, for material changes, notify you in-app or by email at least seven (7) days before the change takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to the dispute-resolution steps below, the courts at Gurugram, Haryana will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Before initiating litigation, the parties will first attempt in good faith to resolve the dispute through written notice and discussion for a period of thirty (30) days.
